NWVox entered into the Agreement in reliance on verbal representation that the Profitec Voip Billing system would be delivered and in place by October 1. Although the system was not delivered as promised, the parties commenced the initial setup of the system in good faith in October, with November 1 as the target date for the first billing cycle to be run by the new system. This project ultimately failed due to the facts, among other things, that: (1) the files transferred by Profitec to NWVox system was unusable; (2) Profitec was unable to convert the data in NWVox's system (which is in the industry-standard CSV form) into its software nor was it able to even disseminate the information; (3) Profitec demonstrated industry incompetency as they dealt with Northwest Vox as being their first VoIP retailer client, due to this incompetency, we feel that Profitec was never prepared or had the means to deliver the software as they intended.
