This Agreement contains information about the use of this Charge Account and explains the terms in which both you and we agree to be bound by.in this Agreement the words "I", "My", and "Me" mean the Card Member. "We", "the Company", and "Charge Account" mean USA Credit and Commonwealth Marketing Group, Inc. (CMG), located in Uniontown, Pennsylvania.

This Agreement describes the Terms and Conditions under which my USA Credit Card account is issued. I certify that I am at least 18 years of age and the information I provided to USA Credit in order to obtain this charge account is true and accurate. I understand that my use of the card and/or account constitutes my acceptance of this charge account in accordance with the terms of this Agreement. I understand that, as a new card member, my card is being issued with No Credit Check or Investigation and, as a result of this, I will be required to make a reasonable down payment towards my merchandise purchases (approximately 20-30%, depending on item, a higher down payment may be required) from USA Shop Smart authorized catalogs and web site until I have demonstrated that I will make my minimum monthly payments in a timely manner.

After four (4) consecutive on-time payments are made to my account for charges I incur, USA Credit will, at my request, review my Account for reduced down payment eligibility and I will be notified of any down payment reduction amount in writing. Continued activity and on-time payments to my account will entitle me to further reductions of my down payment requirements until I reach a no down payment status. The minimum monthly payment required on my outstanding charge balance is $10.00 or 5% of the outstanding balance, whichever is greater. See "Minimum Monthly Payment" heading for complete explanation.

RETURNED AND NSF ACH PAYMENTS: In the event that my membership fee is returned due to non-sufficient funds, USA Credit may immediately attempt to collect the full amount by presenting my ACH authorization a second time to my original banking institution. Any subsequent withdrawal attempts by USA Credit will not exceed the original membership fee. Furthermore, I agree and understand that if USA Credit is unable to successfully process my electronic payment, USA Credit will automatically issue in my name a USA Credit Classic Card with $2,500.00 initial credit limit and ship the card and welcome kit.included in my welcome kit will be a detailed explanation for the 3-payment process ($30.00, $30.00 and $29.95) respectively for the $89.95 Classic Card membership fee, along with instructions on how to cancel the enrollment. I may cancel this transaction by following the cancellation instructions in the welcome kit.

CHARGE CARD - CREDIT LIMIT: My USA Credit account has been issued with a starting credit limit, which is indicated on the Account Information Form.

ACCELERATED DOWN PAYMENT REDUCTION PROGRAM: I may request that my down payments be reduced or eliminated. I may contact USA Credit Member Services Department at the email address provided in this Agreement and/or elsewhere in the Card Membership Package. However, I understand that as part of the application and approval process to determine my eligibility for accelerated reduced down payments, I may be subject to a credit check and may be asked to provide additional information about myself at the time I submit the completed application.

PREFERRED STATUS: As a Preferred Status Member, you are enrolling in a monthly credit monitoring service. For specific program details or program terms and conditions, please visit www.privista.com. The enrollment fee is $29.95 and $9.95 per month, thereafter. This is not a credit repair service.

CREDIT BUREAU REPORTING: I understand that USA Credit is a subscriber to several major Credit Bureaus and that my new account as well as my monthly payment history will be reported the Credit Bureaus. USA Credit reserves the right to not report your account to any credit bureau.

CREDIT BUREAU ACCESS: USA Credit will not access your personal credit report as part of activation process in establishing your initial credit account. However, USA Credit reserves the right to access your personal credit report in the event that you request a credit line increase to your USA Credit Account.

CHARGE PURCHASES AND MONTHLY BILLING: I will be billed each month for charges made to my account. My Account must be maintained on a current basis to make additional credit purchases and to receive additional Card Member benefits.

PROMISE TO PAY: I agree to pay at least the minimum payment amount shown on each billing statement. All payments must be received on or before the due date indicated on the billing statement, or a late fee may be assessed.

APPLICATION OF PAYMENTS RECEIVED: Payments received are always applied to any unpaid late fee (s) that may be owed first, then the rest of the payment is applied to any unpaid balance. Payments are applied toward purchases in the same order they were made, older purchases first.

MINIMUM MONTHLY PAYMENT: The minimum monthly payment which must be paid every month (as long as my account shows an outstanding balance) is figured by finding the greater of (a) or (b): a) 5% of the account balance owed immediately following any purchase made to my account, or b) $10.00, whichever is greater. This figure is the minimum monthly payment. The minimum monthly payment does not automatically reduce as my account balance reduces. Should my new balance be less than $10.00, the payment due will be the amount of the new Balance.

DELINQUENT ACCOUNT: My account is considered delinquent if the Minimum Monthly Payment is not received by USA Credit by the due date. If this occurs, a $10.00 late fee may be charged against my account.

DEFAULT ON ACCOUNT: I will be in default if: a) I fail to pay the "minimum monthly payment" when due; or b) I breach any of the Terms and Conditions of this Agreement. If I am in default, then upon compliance with applicable law, USA Credit has the right to: a) demand me to pay the entire unpaid balance on the account immediately; b) apply monies received on subsequent purchases to any delinquent account balance owed including late fees if applicable; and/or c) proceed with legal action.

REFUND OF CARD MEMBERSHIP PACKAGE: You may cancel your enrollment into the USA Credit Plan within (30) days from the receipt of the Welcome Kit and USA Credit Credit Card. To receive a refund of your card membership fee, you must first contact USA Credit to obtain a RETURN AUTHORIZATION NUMBER. Upon receiving your return authorization number, you will be required to return all membership documents as well as your USA Credit Credit Card to USA Credit, One Millennium Drive, Uniontown, PA 15401. Refund guidelines must be carefully followed to assure a prompt refund of monies. IMPORTANT: Merchandise return policy and instructions are explained in the product catalogs and/or the product order forms..

CANCELLATION OF ACCOUNT: Your USA Credit Account will be active for 12 months from the date of issue. USA Credit, at its sole discretion, may cancel this Agreement, and may demand payment in full of the entire balance due if I default on this contract and after compliance with applicable law.in the event, USA Credit cancels your account; you will continue to be responsible to make full payment of any remaining USA Credit account balance.

SECURITY INTEREST: USA Credit, to the extent legally permissible, retains a security interest in all merchandise charged on this account until the balance is paid in full.

APPLICABLE LAW: The law of the State of Pennsylvania covers this Agreement.

AUTHORIZATION TO OBTAIN & DISCLOSE INFORMATION: By becoming a member of the USA Credit Program and obtaining the USA Credit Credit Card, I authorize USA Credit to obtain a Credit Report that is based on the information that I provide to USA Credit as well as exchange information about how I handle my account with lawful recipients and with Credit Bureaus. The Company may require me to provide updated and/or additional information during the term of my card membership in order for me to receive additional benefits.

MEMBERSHIP IN GOOD STANDING REQUIREMENT: I understand that my charge privileges, current charge limit, current down payment/no down payment requirement, credit bureau reporting, or other card member benefits and/or special promotions/programs are subject to my maintaining my account in good standing by making my minimum monthly payments on time. Should I become delinquent on my account, or in default, then I understand that my privileges and benefits may be changed and/or suspended until I have re-established a consistent pattern of on-time monthly minimum payments.

I certify that I have read, understand and agree to all the Terms and Conditions and Disclosures written in this Agreement. I certify that all the information I provided to USA Credit is true, accurate and verifiable. The information about the costs of the card described in this application/solicitation is accurate as of July. The information may be changed after that date. To find out what may have changed, write us at USA Credit, One Millennium Drive, Uniontown, PA 15401. If the cardholder does not agree with any changes in the terms and conditions of the card account, the cardholder may close their account without incurring any penalty. Please note that the cardholder will be responsible for paying all outstanding balances in the event they close their account.

Terms and Conditions of this Program may be modified and Services and Benefits may be added or deleted at any time.

State notices

NOTICE FOR CALIFORNIA RESIDENTS: California law requires that we inform customers that should they fail to fulfill the terms of their credit obligation, a negative report reflecting on their credit record may be submitted to a credit-reporting agency. If you are married, you may apply for credit in your own name.

NOTICE FOR FLORIDA RESIDENTS: You (borrower) agree that, should we obtain a judgment against you, a portion or your disposable earnings may be attached or garnished (paid to us by your employer), as provided by Florida and Federal law.

You may ask whether we obtained a Consumer Report and we will tell you the name of address of the Consumer-Reporting Agency, if a report was obtained.

NOTICE FOR NEW YORK RESIDENTS:: A Consumer Credit Report may be requested in connection with this application or in connection with updates, renewals, or extensions of any credit granted as a result of this application. Upon your request, you will be informed whether or not such a report was requested and, if so, the name and address of the agency that furnished this report. New York residents may contact the New York State Banking Department to obtain a comparative listing of credit card rates, fees and grace periods. New York State Banking Department 1-800-518-8866.

NOTICE FOR OHIO RESIDENTS: The Ohio laws against discrimination require that all creditors make credit equally available to all creditworthy customers, and that credit reporting agencies maintain separate credit histories on each individual upon request. The Ohio Civil Rights Commission administers compliance with this law.

NOTICE FOR MARRIED WISCONSIN RESIDENTS: No Agreement, unilateral statement or court decree relating to marital property adversely affects a creditor's interest, unless prior to the time credit is granted the creditor is furnished a copy of the Agreement, statement or decree, or has actual knowledge of the adverse position.

Billing rights

This notice contains important information about your rights and our responsibilities under the Fair Credit Billing Act.

Notify us in Case of Errors or Questions about your Statement of Account.

If you think your bill is wrong, or if you need more information about a transaction on your bill, write us, on a separate sheet of paper, at the address listed on your bill. Write to us as soon as possible. We must hear from you no later than 60 days after we sent you the first bill on which the error or problem appeared. You may telephone us, but doing so will not preserve your rights.in your letter, give us the following information: 1) Your name and account number. 2) The dollar amount of the suspected error. 3) Describe the error and explain, if you can, why you believe there is an error. If you need more information, describe the item you are not sure about.

Your Rights and Our Responsibilities After We Receive Your Written Notice.

We must acknowledge your letter within 30 days unless we have corrected the error by then. Within 90 days we must either correct the error or explain why we believe the unpaid bill was correct. After we receive your letter, we cannot attempt to collect any amount you questioned or report you as delinquent. We can continue to bill you for the amount you questioned, and we can apply any amount you question against your credit limit. You do not have to pay any questioned amount while we are investigating, but you are still obligated to pay any charges related to any questioned amount. If we didn't make a mistake, you will have to make up any missed payments on the questioned amount.in either case, we will send out a statement of the amount you owe and the date that it is due.

If you fail to pay the amount that we think you owe, we may report you as delinquent. However, if our explanation does not satisfy you, and you write to us within 10 days telling us that you still refuse to pay, we must tell anyone we report you to that you have a question about your bill. And we must tell you the name of anyone to whom we reported this information. We must tell anyone to whom we've reported on the matter in question when it is finally settled. If we don't follow these rules, we cannot collect the first $50.00 of the questioned amount, even if your bill was correct.

Special Rule for Credit Card Purchases. If you have a problem with the quality of property or services that you purchased with the credit card and you have tried in good faith to correct the problem with the merchant, you may have the right not to pay the remaining amount due on the Property or Services. There are two limitations on this right: (a) You must have made the purchase in your home state or, if not, within 100 miles of your current mailing address; and (b) the purchase price must have been more than $50.00. These limitations do not apply if we own or operate the merchant, or if we mailed you the advertisement for the Property or Services.
