The undersigned hereby authorizes Morgan and Chase Publishing, Incorporated (Publisher) to use my name, image, likeness, photographs, written materials, audio-visual, or any other materials of every type, kind or description (collectively, the Materials) delivered by me to the Publisher for inclusion in the book described below (the Book) and for the Book's promotional, instructional, commercial, advertising, trade, and publicity purposes including but not limited to Publisher's website and other media including print, broadcast, or electronic as Publisher may desire.intellectual Property Warranty:
The undersigned represents and warrants that: (a) the Materials do not infringe any intellectual property right of a third party; and (b) all authors have agreed not to assert their moral rights (personal rights associated with authorship of a work under applicable law) in the Materials, to the extent permitted by law.indemnification: The undersigned will defend, hold harmless and indemnify, Publisher and Publisher's employees and customers, against third party claims that arise or are alleged to have arisen as a result of acts or omissions of the undersigned or the undersigned's employees, including third party claims that the Materials infringe the intellectual property rights of a third party, or breach by the undersigned of any term of this agreement.
The undersigned agrees that photographs must be submitted within 45 days of signing this agreement in order for the photos to be included in the book and releases any rights to the Materials to the Publisher and acknowledge that the Materials are hereafter licensed to the Publisher for its non-exclusive use, commercially or otherwise. The consideration paid by Publisher to me for the Materials is inclusion in the Book. I understand I will not receive any additional compensation for Publisher's usage of the Materials.
Guarantee Activation
Guarantee: full refund 1 year after delivery on any remaining books
Publisher agrees to publish the Book and include the undersigned therein. Dates for delivery are projections only. Upon acceptance by Publisher at Medford, Oregon, this agreement shall be governed by the laws of the State of Oregon which shall be the venue of any disputes arising from this agreement. This agreement will be governed by the laws of the State of Oregon without reference to conflict of laws principles. Any suit brought by either party against the other party for claims arising out of this Agreement will be brought in the U.S. District Court for the District of Oregon, Medford Division, or in the event that court lacks jurisdiction to hear the claim, in the Circuit Court or Small Claims Court of Oregon for Jackson County.
Should any litigation be commenced between the parties, the Publisher will be entitled, in addition to any other relief that may be granted, to a reasonable sum as and for, its attorneys' fees and litigation costs which will be determined by the court in such litigation or in a separate action brought for that purpose. Parties agree that proof production value is sixty percent of total order. Publisher reserves all rights to determine book design and story placement.
Proof will be sent by 1st Class mail with proof enclosed stamped on envelope. Undersigned understands that proof revisions must be submitted within 15 days of mailing by Publisher, or Publisher will assume proof is accepted as written. Every reasonable effort will be made to insure that proof and photos that are approved by undersigned are included in the book.in the unlikely event that an error and/or omission occur, Publisher's liability is limited to contract value. All charges are payable in U.S. Funds. This Agreement constitutes the entire agreement between the parties with respect to the authorization and release and book order described herein and may not be amended except in writing signed by a duly authorized representative of the respective parties.
