The 2002 Annual Meeting of Stockholders of MemberWorks Incorporated (the "Company") will be held at the Westin Hotel, 1 First Stamford Place, Stamford, Connecticut 06902 at 9:00 A.M., local time, to consider and act upon
the following matters:
1. To elect Gary A. Johnson and Robert Kamerschen as Class III Directors, to serve for a three-year term;
2. To ratify the selection of PricewaterhouseCoopers LLP by the Board of Directors as the Company's independent auditors for the fiscal year ending June 30;
3. To approve the amendment to the 1996 Stock Option Plan; and
4. To transact such other business as may properly come before the meeting or any adjournment thereof.
Stockholders of record at the close of business on September 27 will be entitled to notice of and to vote at the meeting or any adjournment thereof. The stock transfer books of the Company will remain open.
