Wholesale license agreement

This Agreement, which shall be effective on the date signed below and is by and between EcoScape Outdoor, LLC, (hereinafter referred to as Company) and it's affiliates and assigns, (hereinafter referred to as Company)

Recitals
The Company is a manufacturer, distributor and sales organization that has spent a considerable amount of time, resources and funding to develop new products and markets for outdoor living products, confidential information and marketing and sales techniques for the Company/Company's business; and
The Investors agrees to invest a minimum of 33,750.00 dollars Ecoscape Outdoor for wholesale synthetic grass operations.
Agreement
1. Term.investor agrees to invest 33,750.00 dollars to purchase initial 15 rolls of EcoGrass (900 sq. Ft. Per roll). It is recognized that the intial investment shall be repaid on a 60 day payment schedule $16,875.00 per month and on the 3 month profit shares in the amount of $10,125.00 shall be paid to investor.
2Wholesale Overview. Ecoscape Outdoors is responsible for infrastructure all marketing in San Diego, Los Angeles, Orange County, as well as all operating exspenses.
- San Diego Market is prime for wholesale turf.
- No one is currently offering wholesale to the public or landscape contractors
- San Diego county is currently offering $1.00 rebate per sq ft for any synthetic turf installations
- Home owners love the zero maintenance aspect and the long 10 yr warranty
3. Products Covered. The specific products covered by this agreement are as follows:
Ecograss 69 oz mono-thatch Royal 2' Pile height
15 rolls 15 x 60 = 900 sq ft each total of 13,500.00 sq ft for purchase price of 2.50 = $33,750.00

9. Modification. The provisions of this Agreement may be waived, altered, amended, modified, or repealed, in whole or in part, only by the written consent of all Parties to this Agreement.
The Company and Dealer intending to be legally bound, have signed this Agreement on the date to the left of their signature.
