Accelevation

Accelevation designs, manufactures and installs power distribution and white-space infrastructure (modular systems, power products, containment and steel structures) for large data center operators; the prospectus says substantially all of its revenue is derived from data center customers. Its Terms & Conditions name Accelevation LLC of Miamisburg, Ohio as the Seller, and its parent issuer, Accelevation Holdings Corp., priced a Nasdaq initial public offering (ticker ACCV) at $18.00 per share according to its September 29, 2026 prospectus, which says Olympus Partners, LP will control approximately 85 percent of the voting power. This page quotes the company's own terms, warranty and contact channels and reports what was checked on 2026-10-01: no complaint posts on USAComplaints, no BBB profile, Trustpilot page or ComplaintsBoard reviews identified, no OSHA inspection under the names searched, and one federal docket that its predecessor entity filed as plaintiff, which ended in a voluntary dismissal in 2026.

Dealing with Accelevation? Its terms, warranty and contact channels

Accelevation primarily serves large-scale data center customers. Its prospectus says it helps hyperscale, colocation, AI, cloud and other large-scale data center customers with power distribution and white-space infrastructure that it designs, manufactures and installs, and that substantially all of its revenue is derived from data center customers; the sources checked on 2026-10-01 do not describe a consumer sales channel. Under its Terms & Conditions, purchases are made through proposals, sales order acknowledgements and purchase orders, so a dispute with Accelevation would be handled under the written terms below between the Buyer and the Seller those terms define (Accelevation LLC and its wholly owned subsidiaries).

The company's own terms (Terms & Conditions, "Effective 6/4/2025").

  • Scope: the terms "govern the sales of all Products and Services by Accelevavtion LLC" (spelled that way on the page), and apply "Unless there is a separate written and signed agreement between the Parties (such as a Master Sales Agreement)".
  • Payment: "Payment terms are Net 30 days, FOB Miamisburg, OH"; Section 4 says unpaid amounts beyond 31 days from the invoice date are delinquent and bear interest "at the lesser of 1.5% per month or the highest rate permissible under applicable law", accounts unpaid for more than 60 days "shall be subject to credit hold, stoppage of work, and/or termination", and the Buyer pays the Seller's collection expenses (including attorney's fees) if it fails to pay on time.
  • Changing or cancelling an order: the Buyer "may not terminate the Sales Order Acknowledgement without written consent from an authorized Seller representative", and if the Seller consents, "reasonable termination charges" apply; the Seller "may terminate any Sales Order Acknowledgement with immediate effect for any reason, including for convenience".
  • Inspection of goods (Section 17): "Buyer shall inspect the Goods within five (5) days of receipt" and "will be deemed to have accepted the Goods unless it notifies Seller in writing of any Nonconforming Goods during the Inspection Period" with the written or photographic evidence the Seller reasonably requires; the terms define "Nonconforming Goods" as shipped product that differs from the acknowledgement or a label or package that misidentifies its contents. If notice is timely, the Seller "in its sole discretion" replaces the goods or credits or refunds the price plus reasonable shipping and handling expenses; the Buyer ships the goods to the Miamisburg facility "at its expense and risk of loss", and these remedies are the Buyer's exclusive remedies for nonconforming delivery.
  • Formal notices (Section 23): notices must be in writing, addressed to the parties at the addresses in the Sales Order Acknowledgement (or another address designated in writing), and delivered by "personal delivery, nationally recognized overnight courier or certified or registered mail"; a notice is effective only on receipt.
  • Pricing: the terms say prices in the Proposal or Sales Order Acknowledgement "will not be adjusted by Seller" unless otherwise agreed in writing, but are "subject to increase via Change Order" in four listed situations (no dock access, double-handling, storage costs, work outside 7am-5pm), and also say "Seller may adjust pricing at any time prior to shipment due to increases in tariffs, commodity, labor, material, logistics, regulatory or energy costs" and, in the same Section 3, "In the event of any material increase in raw materials, freight, tariff, labor, or other input costs (exceeding 5%), Seller reserves the right to adjust prices upon notice to Buyer"; all of these statements appear on the same live page.
  • Security interest and indemnity: "As collateral security for the payment of the purchase price of the Goods, Buyer hereby grants to Seller a lien on and security interest in" the Buyer's interest in the Goods, and the Buyer "shall also indemnify Seller from any third-party claims arising out of or related to the Goods once delivered, including but not limited to claims related to improper use, installation, or resale of the Goods".
  • Warranty: see the warranty paragraph below; the terms disclaim implied warranties and limit liability to the amounts paid for the specific goods or services.
  • Governing law and disputes: Ohio law; suits "in the federal courts or state courts located in Montgomery County, Ohio"; jury trial waived; disputes are "resolved on an individual basis" with a waiver of class or representative actions.

Warranty Policy (page dated May 15, 2025; "Effective June 4, 2025"). A one-year parts-only limited warranty applies to products a customer installs itself, and a two-year parts-and-labor warranty applies when Accelevation performs the installation; both begin on the shipment date shown on the shipping paperwork and cover "manufacturing defects under normal use". The policy excludes damage from shipping, improper installation, modification, accidents, misuse, neglect or lack of maintenance, and says Accelevation will "at our discretion, repair or replace" a defective product. The page does not describe a claim form or a warranty-specific contact; it says to "contact Accelevation directly".

Ways to reach the company (all from its own pages).

  • Contact form at accelevation.com/contact with areas of interest Sales, Service, Company Info and Careers/HR; the same page lists the corporate headquarters phone 937-258-0616 and a media contact, [email protected].
  • Job applicants: the contact page says "we are unable to provide individual status updates on applications via email" and that candidates whose skills and experience match current needs "will be contacted directly".
  • Investor questions: [email protected] (investor site, "Investor Contact").
  • Conduct and safety concerns: the Compliance page invites reports, anonymous or disclosed, including "safety concerns", through a reporting link or the hotline +1-888-727-0785.
  • Privacy opt-out or corrections: the Privacy Policy lists [email protected], which is a different domain from accelevation.com.
  • Text-message (SMS/MMS) enrolment: the company's SMS Messaging Privacy & Terms ("Effective Date: March 12th 2025") say you may stop messages "by replying STOP" and, for access to or correction of messaging information, give [email protected] or 937-258-0616 (the email domain again differs from accelevation.com).
  • Workplace-safety concerns can also go to OSHA directly; OSHA's own website lists 1-800-321-OSHA.

Keep the proposal, sales order acknowledgement, purchase order, shipping paperwork and written inspection notices; the terms make timing and written notice important.

Company background: Accelevation, Olympus Partners and the IPO

Who is behind the name. The SEC record (CIK 0002141406) is for Accelevation Holdings Corp., a Delaware corporation that its prospectus says was incorporated on June 15, 2026 to be the holding company for the business; the SEC lists its address as 9555 N. Springboro Pike, Suite 400, Miamisburg, OH 45342, phone (937) 258-0616. The Terms & Conditions define "Accelevation" and/or "Seller" as "Accelevation LLC and any of its wholly owned subsidiaries, including but not limited to Conatech, LLC, Instor Solutions, and Southeast Tool Co., Inc.", and the website footer reads "Copyright Accelevation LLC". The prospectus also names a predecessor for financial reporting, Accelevation Holding Company, LLC.

History, in the company's words. The company's history page says Accelevation "was founded by Michael and Shawn Rubiera" in 2017; the prospectus says the founder and CEO, Michael Rubiera, has led it since 2017. The history page says that in 2018-2019 the founders invested in two Ohio tool-and-die shops (Southeast Tool & Die and Coach Tool & Die), that around 2020 it made protective barriers during the pandemic, and that from 2021-2022 it moved into data-center airflow containment, then steel structures (2023, including the acquisition of Instor), branch circuit whips (2024), remote power panels (2025) and the SkyBridge modular platform (2026). The prospectus lists three 2025 acquisitions: Aura Energy, LLC (assets, January 29, 2025), Earnest Solutions, LLC (assets, April 28, 2025) and SteelPro LLC and SteelPro Memphis, LLC (October 6, 2025). On September 30, 2026 the company posted "A letter from our founders" on its news page; it says the company grew "from under $3.0 million in revenue in January 2021", that it launched data center air-flow containment in January 2021, and that over the following five years it "added over 1,700 new employees and expanded from 20,000 square feet of manufacturing capacity to approximately 1.1 million" (company statements in a letter to prospective investors).

Ownership. The prospectus says that "As a result of the acquisition by Olympus Partners, LP on January 2, 2025, a change in control" occurred, and that after the offering Olympus Partners, LP, its "Principal Stockholder", will control approximately 85 percent of the combined voting power (83 percent if the underwriters exercise their option in full), making Accelevation a "controlled company" under Nasdaq standards. The offering uses an "Up-C" structure in which Accelevation Holdings Corp. is the managing member of a new Accelevation Holdings LLC that is the direct parent of Accelevation LLC.

Initial public offering, as filed. The Rule 424(b)(4) prospectus (dated September 29, 2026; filed with the SEC on October 1, 2026) covers 30,000,000 shares of Class A common stock at an initial public offering price of $18.00 per share, of which 10,000,000 shares are offered by the company and 20,000,000 by selling stockholders, with an option for the underwriters to buy up to 4,500,000 more shares from the selling stockholders. It states the stock was approved for listing on the Nasdaq Global Select Market under the symbol "ACCV"; the company's September 29, 2026 press release announces the pricing, and its investor site displayed an ACCV quote on October 1, 2026. The company's roadshow release of September 22, 2026 had said the price was "currently expected to be between $20.00 and $24.00 per share"; the final price was $18.00. The pricing release describes the selling stockholders as "certain selling stockholders affiliated with Olympus Partners" and says "Accelevation will not receive any of the proceeds from the sale of shares of Class A common stock by the selling stockholders"; the company intends to use its own net proceeds to buy newly issued units in Accelevation Holdings LLC, which in turn intends to repay indebtedness, pay offering and organizational expenses and for general corporate purposes. The pricing release also said the shares were expected to begin trading on the Nasdaq Global Select Market on September 30, 2026 and that the offering was expected to close on October 1, 2026 "subject to customary closing conditions"; the sources checked on 2026-10-01 do not include a closing notice. These are figures from the company's filings and releases, not investment information or advice.

What it makes (company description). Two categories: Infrastructure Solutions (the SkyBridge prefabricated modular platform, TechFrame steel structures, thermal management products and installation and maintenance services) and Power Products (remote power panels, high-density remote power panels, branch circuit whips and power distribution units). The prospectus says that as of June 2026 the company had approximately 1,716 full-time employees and about 1.1 million square feet of manufacturing space in Ohio, Tennessee, Mississippi and Virginia (the company's history page, as displayed on 2026-10-01, says it "operates approximately 1.5 million square feet across the United States, including more than 1.1 million square feet of manufacturing space" and describes the "Accelevation Academy, our paid, in-house training program"), and reports revenue of $447.8 million for 2025 and $437.5 million for the first half of 2026. It does not name its customers; it says two customers together accounted for approximately 61.2 percent of direct revenue in 2025 and that no single customer represented more than 45 percent of revenue.

Leadership as listed on the company site: Michael Rubiera (Chief Executive Officer and founder), Ken Krause (Chief Financial Officer), Brent Jewell (Chief Operating Officer), Mike Jurek (General Counsel) and others on the leadership page. Facilities are listed on the contact page in Miamisburg and Springboro, Ohio, and in Virginia, Texas, Georgia, Arizona, Mississippi and Tennessee.

Not to be confused with. The name is easy to mistype or mis-hear as "acceleration". In the Better Business Bureau directory search for "Accelevation" near Miamisburg, Ohio, the results shown were differently spelled businesses, for example Acceleration Foreign Automobile Repair (Columbus, OH), Acceleration Motorsports, Inc (Tipp City, OH) and Acceleration Indiana, Inc.; Trustpilot's search for "accelevation" returned an unrelated company named Acceleratron. None of these is described by any source checked as related to Accelevation. Within the company's own group, the names Accelevation LLC, Accelevation Holdings Corp. and Accelevation Holding Company, LLC refer to different legal entities as described above; the company's own Privacy Policy also lists an email at the separate domain accelevationllc.com.

Complaint record: USAComplaints, BBB, Trustpilot, ComplaintsBoard and OSHA, reported separately

USAComplaints: as of 2026-10-01 there were 0 approved complaint posts on this site about Accelevation (searched by company name, subsidiary names Instor Solutions and Conatech, and the company's phone number and street address). This page therefore has no complaint themes of its own.

Other public complaint and review sources, checked on 2026-10-01 (each reported separately, nothing combined):

  • BBB: a BBB directory search for "Accelevation LLC" near Miamisburg, OH and near Dayton, OH returned "No Results", and a search for "Accelevation" near Miamisburg returned four differently named businesses. No BBB profile for Accelevation was identified in the searches run on 2026-10-01.
  • Trustpilot: trustpilot.com/review/accelevation.com returned "The page you're looking for could not be found", and a search for "accelevation" listed one unrelated company. No Trustpilot page for Accelevation was identified.
  • ComplaintsBoard: a site search for "accelevation" returned "No reviews matching" the term.
  • OSHA establishment search (inspection data through 09/29/2026, date range 10/01/2016 to 10/01/2026): searches for "Accelevation", "Instor", "Southeast Tool" and "Coach Tool" each returned "Your search did not return any results." A result under a differently spelled or later-registered establishment name would not appear in these searches.
  • CFPB: not applicable, because Accelevation does not sell consumer financial products.
  • Ohio Attorney General: the Attorney General's Consumer Protection Section runs a public "Complaint Summary" search at complaintsummary.ohioattorneygeneral.gov; the page opens with a human-verification step and was not searched for this profile, so no result from it is reported.

An absence of public listings is not evidence either way: disputes between a manufacturer and its business customers are typically handled privately under the contract terms above, and a company this recently public may not yet have profiles on review sites. Accelevation says in its prospectus that it believes it complies with applicable EPA, OSHA, NEC, UL and other requirements; that is the company's statement, not a finding made here.

Legal proceedings and court records

What the company's filings say. The prospectus, under "Legal Proceedings", says "we have been and may be involved in litigation" covering contract, employment, personal injury, product liability, warranty and intellectual property matters, and that "Currently, there are no claims or proceedings against us that we believe will have a material adverse effect on our business, financial condition, results of operations or cash flows." Its risk factors also warn about product defects and installation errors leading to warranty claims, workplace accidents, and the possibility of stockholder lawsuits for a newly public company. Another risk factor says it has "identified material weaknesses in our internal control over financial reporting". The notes to its financial statements (Note 17 for 2025; Note 11 for the six months to June 30, 2026) state it may be subject to claims in the ordinary course and that management does not expect a material effect.

Court records searched. A search of the CourtListener RECAP archive for "Accelevation" on 2026-10-01 returned seven dockets. One is captioned with the company's name, listed below. Of the others, the search highlighted "accelevation" as a spelling of "acceleration" in mortgage documents in several cases, and in the 2024 Chapter 11 case of Grand Fusion Housewares, LLC (Bankr. N.D. Tex., No. 24-41694) it highlighted "Accelevation, LLC" as the subtenant under a sublease; these pages were not examined further and no identity or claim against Accelevation is stated here. RECAP coverage depends on what users upload and may be incomplete, and state-court and arbitration matters would not appear.

The one captioned docket (a case the company's predecessor entity filed as plaintiff). See the court-case entry below: Accelevation Holding Company, LLC v. Heck, D. Del. No. 1:25-cv-01285, filed October 20, 2025 by Accelevation Holding Company, LLC against three defendants. The Justia and CourtListener dockets show a motion for a temporary restraining order and preliminary injunction, the defendants' motion to dismiss, the plaintiff's notice of voluntary dismissal on January 21, 2026 and its stipulation of dismissal with prejudice on April 1, 2026. The accessible docket information did not identify the claims, so the case's subject was not determined.

Is Accelevation Legitimate?

Facts that can be checked: Accelevation Holdings Corp. is an SEC registrant (CIK 0002141406); EDGAR shows a registration statement on Form S-1 (filed September 2, 2026, amended September 11 and September 22), an "EFFECT" notice dated September 29, 2026, a Form 8-A12B on September 30 and the 424B4 prospectus on October 1, 2026; the recent-filings list on that record showed no Form 8-K as of 2026-10-01. The SEC business address (9555 N. Springboro Pike, Suite 400, Miamisburg, OH 45342) and phone (937) 258-0616 match the headquarters address and number on the company's own contact page. The company's Terms & Conditions, Warranty Policy and Privacy Policy name Accelevation LLC, and its investor site carries the ACCV ticker.

This page does not rate Accelevation. It does not show any regulator order, and it found no consumer complaints, BBB profile, Trustpilot page or OSHA inspection under the names searched, as set out in the complaint record above; it also did not check the Ohio Secretary of State business record or other state registries. Statements about revenue, backlog, customers, safety and compliance come from the company's own prospectus and website and are the company's representations. The IPO and ownership facts above are not a recommendation to buy or sell any security.

Accelevation Holding Company, LLC v. Heck
Docket No. 1:25-cv-01285
U.S. District Court, D. Del.DismissedDismissed

Accelevation Holding Company, LLC (named in the 424B4 prospectus as the company's predecessor entity for financial reporting) is the first-named party in the caption and the plaintiff, which filed the case against three defendants (two individuals, including the Heck named in the caption, and one limited liability company). Neither the Justia docket nor the CourtListener mirror (which warns it "may not be up to date") states the claims. Entries on the Justia docket, checked 2026-10-01: a "COMPLAINT with Jury Demand" (entry 1) and a "MOTION for Temporary Restraining Order and Preliminary Injunction" (entry 3) filed by the plaintiff on October 20, 2025 (CourtListener labels the same entries October 21, 2025); the defendants served on October 22, 2025; the court's order of November 4, 2025 on a stipulated extension of the defendants' deadlines; the defendants' answering brief opposing the injunction motion on November 10, 2025 and the plaintiff's reply on November 21, 2025; the defendants' "MOTION to Dismiss for Failure to State a Claim" and "MOTION to Dismiss for Lack of Jurisdiction Over the Person" on December 19, 2025 (entry 26) and the plaintiff's answering brief on January 9, 2026; the plaintiff's "NOTICE of Voluntary Dismissal" as to all three defendants on January 21, 2026 (entry 30), "CASE CLOSED per #30" on January 23, 2026, and the plaintiff's "STIPULATION of Dismissal with Prejudice" on April 1, 2026 (entry 31). The plaintiff's Rule 7.1 disclosure statements name Accelevation Topco, LLC as corporate parent (October 20, 2025) and list other affiliates including Olympus Holdings Aggregator LLC (January 21, 2026). The docket entries seen show no ruling on the injunction motion or the motion to dismiss, no judgment on the merits, and no stated reason for the dismissal. The accessible docket information did not identify the claims, so the case's subject was not determined.

Frequently Asked Questions

What does Accelevation do and who are its customers?

The prospectus says Accelevation "designs, manufactures and installs power distribution and white space infrastructure products for mission-critical environments" for hyperscale, colocation, AI, cloud and other large-scale data center customers. Products named include the SkyBridge modular platform, TechFrame steel structures, containment and thermal products, remote power panels, branch circuit whips and power distribution units. The sources checked on 2026-10-01 do not describe a consumer sales channel, and the prospectus does not name its customers.

Who owns Accelevation?

According to the prospectus, Olympus Partners, LP acquired the business on January 2, 2025 and, after the initial public offering, will control approximately 85 percent of the combined voting power of Accelevation Holdings Corp. (83 percent if the underwriters' option is exercised in full), making it a "controlled company" under Nasdaq rules. The founders, Michael and Shawn Rubiera, are described by the company as its co-founders, and Michael Rubiera is Chief Executive Officer.

What were the terms of the Accelevation IPO?

The 424B4 prospectus, dated September 29, 2026, states an initial public offering price of $18.00 per share for 30,000,000 shares of Class A common stock, of which the company offered 10,000,000 and selling stockholders offered 20,000,000, with approval to list on the Nasdaq Global Select Market under "ACCV". Settlement was expected "on or about October 1, 2026". These are the company's filed figures, not investment advice; the September 22 roadshow release gave a different 8,635,165 / 21,364,835 split of the same 30,000,000 shares and an expected price "between $20.00 and $24.00 per share". The September 29 pricing release says Accelevation "will not receive any of the proceeds" from the selling stockholders' shares.

How do I contact Accelevation?

The company's contact page lists a form (areas: Sales, Service, Company Info, Careers/HR), a corporate headquarters phone of 937-258-0616 at 9555 N Springboro Pike, Suites 200 and 400, Miamisburg, OH 45342, and a media contact at [email protected]; it says it cannot give individual application-status updates by email. Investor questions go to [email protected], and its Compliance page lists a reporting hotline, +1-888-727-0785, for conduct and safety concerns.

What warranty does Accelevation give?

Its Warranty Policy ("Effective June 4, 2025") offers a one-year parts-only limited warranty for self-installed Accelevation-manufactured products and a two-year parts-and-labor warranty when Accelevation installs them, both running from the shipping date and covering manufacturing defects under normal use. Accelevation may repair or replace at its discretion; the policy excludes consequential damages and implied warranties and says to "contact Accelevation directly" without describing a claim procedure. The Terms & Conditions say the warranty remedies are the buyer's sole and exclusive remedy.

Can a buyer cancel an Accelevation order?

The Terms & Conditions ("Effective 6/4/2025") say the buyer "may not terminate the Sales Order Acknowledgement without written consent from an authorized Seller representative" and that "reasonable termination charges" apply if Accelevation consents, while Accelevation may terminate "for any reason, including for convenience". Payment terms are Net 30 days, buyers must inspect goods within five days of receipt, and disputes go to Ohio courts in Montgomery County on an individual basis. A separate signed agreement, such as a Master Sales Agreement, takes precedence over these terms. The terms also let Accelevation adjust pricing before shipment for listed cost increases, give it a lien and security interest in the goods as collateral for the price, and require the buyer to indemnify it against certain third-party claims.

Are there complaints or reviews about Accelevation?

As of 2026-10-01 USAComplaints has 0 complaint posts about Accelevation. In the sources checked that day, no BBB profile, no Trustpilot page and no ComplaintsBoard reviews were identified, and OSHA's establishment search (data through 09/29/2026; 10/01/2016 to 10/01/2026) returned no results for "Accelevation", "Instor", "Southeast Tool" or "Coach Tool". Absence from these sites does not describe how private contract disputes with business customers are handled.

Has Accelevation been sued, or has it filed lawsuits?

The prospectus says there are currently no claims or proceedings the company believes would have a material adverse effect. A CourtListener RECAP search on 2026-10-01 returned seven dockets, and the one captioned with the company's name is a case its predecessor entity filed as plaintiff: Accelevation Holding Company, LLC v. Heck (D. Del. No. 1:25-cv-01285, filed October 20, 2025, against two individuals and one company). The dockets show the plaintiff's notice of voluntary dismissal on January 21, 2026 and its stipulation of dismissal with prejudice on April 1, 2026, and do not state the claims. State-court and arbitration matters would not appear in that search.

Is Accelevation the same as other businesses with similar names?

The sources checked do not link Accelevation to similarly spelled "Acceleration" businesses that appeared in a BBB directory search, such as Acceleration Foreign Automobile Repair (Columbus, OH), Acceleration Motorsports, Inc (Tipp City, OH) or Acceleration Indiana, Inc., or to Acceleratron, which appeared in a Trustpilot search. Accelevation's own domain is accelevation.com; its Privacy Policy also lists an email at accelevationllc.com. Within the group, Accelevation LLC, Accelevation Holdings Corp. and Accelevation Holding Company, LLC are different legal entities per the prospectus.
