I own a company that is incorporated in Arizona and registered with the Secretary of State to do business in Calfornia. Anyone who has owned such a business knows that you get bombarded with never-ending official reports and forms.

Around May 20th I received an official-looking notice from California Corporate Compliance. It had a very impressive seal about an inch in diameter in the upper left corner next to the return address.

Inside was a form with the same seal. The title of the form was Annual Minutes Disclosure Statement. Below this was a statement that there was an annual fee of $125 and an instruction that my company was to reply no later than May 24.

Below that was a lengthy section referencing California Corporation Code reporting requirements. It all looked mighty official. There was even a form number and revision date at the bottom left hand corner.

Because of the short filing deadline, I rearranged my schedule to get this report back to the state on time. So I started filling out the form and began to realize that it was asking for a lot of contact information for all the officers, directors, and stockholders. There were references to California Code that does not pertain to a foreign corporation, as mine is.

Then I found the fine print. The font was not only smaller than any other text on the document, but it was also light grey instead of black. Even the fine print made reference to California Business and Professional Code and U.S.C. 39 3001 (d). The fine print admitted that this was not from a government agency but was merely a solicitation for some sort of service.

Well, at least I saved myself $125. Had I not seen the fine print I would have assumed that this was some sort of state-required report and paid the filing fee. I have no idea what sort of service California Corporate Compliance could possibly provide and there is no hint whatsoever in the document that they sent. These scumbags must send out these phony government forms to every small business, knowing that many of us are too busy to read the fine print. My guess is that they will then sell the contact information to others who leech off small businesses.
