Company refuses to pay earned sales commission!

For three years starting in July I had been an independent sales representative for Electrolytic Technologies Corporation (ETC), a designer and builder of small pre-engineered chlor-alkali plants. I had enjoyed working with the people at ETC and I enjoyed discovering and working with new business prospects.

In July I introduced a sales prospect to ETC that turned into a very large order in January.in fact, this order was the largest that ETC had ever received and exceeded the sum total of all previous sales. ETC and I mutually agreed in writing what I would receive as a sales commission. ETC began receiving progress payments in early 2007 and by mid had been paid almost all of its money.in contrast, I've received only a little more than one-quarter of my earned sales commission

After receiving a paltry check in July I wrote a letter in early August to ETC requesting that either the company start sending me regular and substantial payments or that this letter would be my thirty-day notice of termination of the sales agreement; I did not want to be held hostage to a non-compete clause by a company that wouldn't pay me. Toward the end of August, I received a threatening e-mail letter from ETC's attorney alleging that I had violated certain provisions of the sales agreement and that I would be "held accountable."

After taking some time to ponder the letter, I sent ETC's attorney a reply by both e-mail and facsimile rebutting every one of his false allegations. I demanded payment of the balance of my earned commission in accordance with a provision in the original sales agreement that states, "termination... By either party shall cause any amount either party owes to the other party to be payable upon demand." So far I have not received a reply.

In my opinion, there are only two reasons why ETC won't pay me $89,000, the outstanding balance of my commission. Either the company is insolvent, or the company has the money to pay me but the people who run the company have decided to welsh.
