MICROSOFT lying about compatablity

I purchased MICROSOFT Windows 7 Professional Upgrade, because the package said" it is designed as an upgrade for Windows Vista. "It will NOT upgrade the system... Cannot get my money from FRY's because the package of course has been opened. Shame on Microsoft for lying and basically stealing my money. Any interested lawyers out there?
