Unauthorized charge to my credit card Unknown

I have no idea who these guys are. I called them up after I noticed 2 charges on my credit card. I for $1.95 and the other for $38.95. He told me that I visited their website on june 18th 08 and signed up for their trial offer for $1.95. I asked what kind of website they were and he said they were a site that showed you how to get government grants and they give you all the info on that. I have never been there and did anything of the sort. He said the $38.95 was for access to the site for at least another 30 days. My computer crashed approximately 3 weeks ago. I have never been there and i never ok money to be taken from my card on a monthly basis even for my monthly bills i dont do that. He told me they could prosecute me if I didnt pay the $38.95, if I put a stop on it.
